Proposals and agreements
No paid engagement begins until the parties agree the applicable written proposal or contract. That agreement defines deliverables, assumptions, exclusions, responsibilities, success measures, timing, fees and applicable support.
Scope and client responsibilities
Material changes to processes, systems, access, data, requirements or assumptions may require revised scope, timing and fees. Clients are responsible for timely access, accurate information, an internal process owner, approvals, suitable licences, lawful instructions, testing participation and reasonable user adoption.
Third-party systems and costs
Automations may rely on third-party software, hosting, advertising platforms, APIs, telephony, model providers or subscriptions. Their availability, terms, pricing and changes are outside Dada Automates’ direct control. Those costs are separate unless the signed proposal expressly includes them.
Ownership, confidentiality and data
The signed agreement identifies ownership and licences for deliverables, reusable methods, pre-existing materials and third-party components. Each party should protect confidential information and use it only for the engagement. See our Data Processing and Subprocessor Information.
Service availability and support
Support scope and response arrangements apply only where expressly agreed. No connected system can be guaranteed to operate without interruption, especially where it depends on third-party services or client-controlled systems.
Liability
Any liability limitations, exclusions and caps will be set out in the signed agreement and interpreted subject to applicable law. Nothing on this website is intended to exclude rights or liability that cannot lawfully be excluded.
Payment, cancellation and termination
Payment stages, taxes, cancellation rights, suspension, termination and any governing-law provisions will be stated in the proposal or signed agreement for the engagement.
ROI commitment
The 90-day ROI commitment is available only for eligible implementation projects where eligibility is confirmed in the signed proposal. The separate 90-Day ROI Commitment Terms and the project-specific signed proposal apply.
